By submitting material (herein referred to as the “Property”) to Mercury Filmworks Corp. (the “Company”) for purposes of evaluation of the Property, I acknowledge and agree to the following terms and conditions:

  1. I hereby grant the Company and its affiliates the right to read and evaluate the Property which I am submitting voluntarily to the Company without any solicitation from the Company.
  2. I understand the Company will not review the Property without my agreement to all of these terms and conditions. I further understand that the Company will refuse to accept and evaluate the Property in the absence of my acceptance of each and all of the provisions of this Agreement.
  3. I acknowledge that I am the author of the Property, and am the present and sole owner of all rights, titles, copyrights and interests in and to the Property. I further acknowledge that I have the exclusive, unconditional right and authority to submit and/or convey the Property to the Company upon the terms and conditions set forth herein.
  4. I acknowledge that the Company and its affiliates are exposed to numerous ideas, formats, stories, suggestions, concepts, themes, designs, artwork and the like. I understand that many stories, ideas, concepts, designs and artwork are similar and that different stories, ideas, concepts, designs and artwork frequently relate to one or more common underlying themes and may closely resemble, parallel or be identical to other works. I understand that the Property I am submitting and any other which the Company may have now or in the future is purely coincidental.
  5. I hereby agree that I will not assert or make a claim against the Company or its affiliates, subsidiaries, licensees, assigns, officers, agents or employees for any claim based on plagiarism, infringement, confidential relationship, implied contract, unfair competition or otherwise arising out of any alleged use by the Company of the Property, or any similar property that has been independently developed or received.  I understand and agree that I will not be entitled to any compensation or other consideration because of the use of such similar or identical material, stories, ideas, concepts, designs and/or artwork that may have come to the Company or its affiliates.  I hereby release the Company and its affiliates for any and all claims, liabilities and demands that may be made by me asserting that the Company has used or appropriated the Property, or any portion thereof.
  6. I acknowledge that the Company recommends that I copyright the Property with the Canadian Copyright Office and/or register the Property with the Writer’s Guild of Canada. I also acknowledge that it is my responsibility to copyright or register the Property prior to submitting it to the Company and hereby release the Company and its affiliates from any claims that arise from my failure to do so.
  7. I acknowledge and agree that there are no prior or contemporaneous oral or written agreements in effect between me and the Company pertaining to the Property. I further agree that no other obligations exist or shall exist or be deemed to exist unless and until a formal written agreement has been entered into by both parties.
  8. In the event of any dispute concerning the Property and/or in connection with this Agreement, I understand and agree that my sole remedy, if any, is limited to monetary recovery and only in the event a tribunal or a court of competent jurisdiction renders a final decision that such monetary damages are payable.  I further agree that I shall not be able to impede or prevent the production, marketing, distribution or other exploitation of any property which is the subject of the dispute.
  9. I understand the Company may retain or destroy the submission and I acknowledge that I possess additional copies of same. I release the Company from any and all liability for loss or other damage to the copies of the Property submitted to the Company hereunder.
  10. If any provision of this Agreement is deemed to be invalid, it shall be considered deleted here from and shall not invalidate the remaining provisions.
